1.Acceptance of Terms
Welcome to BizoraPOS, a product of Santisoft. These Terms of Service ("Terms") govern your access to and use of the BizoraPOS mobile application, desktop software, website, and related services (collectively, the "Services") provided by Santisoft ("we," "our," or "us").
By accessing or using our Services, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Services.
If you are using the Services on behalf of a business or organization, you represent that you have the authority to bind that entity to these Terms, and the terms "you" and "your" will refer to that entity.
We may update these Terms from time to time. We will notify you of any material changes by posting the new Terms on our website and updating the "Last Updated" date. Your continued use of the Services after any changes constitutes your acceptance of the new Terms.
2.Account Registration
To use most features of our Services, you must create an account. When you create an account, you agree to:
- Provide accurate, current, and complete information
- Maintain and promptly update your account information
- Keep your password secure and confidential
- Accept responsibility for all activities that occur under your account
- Notify us immediately if you suspect unauthorized access to your account
Account Eligibility
You must be at least 18 years old to create an account. By creating an account, you represent that:
- You are at least 18 years of age
- You have the legal capacity to enter into these Terms
- You are not prohibited from using the Services under applicable law
One Account Per Business
Each business should maintain only one account. Creating multiple accounts to abuse free trials or circumvent our terms is prohibited and may result in immediate termination of all associated accounts.
3.Subscription Plans and Billing
Subscription Plans
BizoraPOS offers different subscription plans with varying features and pricing. Details of available plans, including pricing and features, are available on our pricing page.
Payment Terms
- Billing Cycle: Subscriptions are billed monthly or annually in advance, depending on your chosen plan
- Payment Methods: We accept mobile money (MTN MoMo, Airtel Money), credit/debit cards, and other payment methods as displayed
- Currency: Prices are displayed in your local currency where available
- Automatic Renewal: Subscriptions automatically renew unless cancelled before the renewal date
Price Changes
We may change our prices from time to time. Price changes will be notified at least 30 days in advance and will apply to your next billing cycle. If you do not agree with the price change, you may cancel your subscription before the change takes effect.
Failed Payments
If a payment fails, we will attempt to process the payment again. After multiple failed attempts, your subscription may be suspended or downgraded. We will notify you of any payment issues.
Refunds
Subscription fees are generally non-refundable. However, we may provide refunds at our discretion in exceptional circumstances. Contact our support team if you believe you are entitled to a refund.
4.Free Trial Terms
We may offer a free trial period for certain subscription plans. The following terms apply to free trials:
Trial Eligibility
- Free trials are limited to one per person, business, or device
- We may use device information to detect duplicate trials
- Creating multiple accounts to obtain additional trials is prohibited
Trial Period
- Trial length is specified when you sign up
- You will have access to trial features during the trial period
- Some features may be limited during the trial
After the Trial
- If you do not subscribe before the trial ends, your account will be downgraded to the free tier (if available) or restricted
- Your data will be preserved according to our data retention policy
- You can subscribe at any time to restore full access
Trial Abuse
We reserve the right to terminate trials and accounts that we determine, in our sole discretion, are abusing the trial system. This includes using multiple devices, accounts, or identities to obtain multiple trials.
5.Acceptable Use Policy
You agree to use the Services only for lawful purposes and in accordance with these Terms. You agree NOT to:
Prohibited Activities
- Use the Services for any illegal purpose or in violation of any laws
- Infringe on the intellectual property rights of others
- Transmit any viruses, malware, or other harmful code
- Attempt to gain unauthorized access to our systems or other users' accounts
- Interfere with or disrupt the Services or servers
- Use automated systems (bots, scrapers) to access the Services
- Reverse engineer, decompile, or disassemble the software
- Resell, sublicense, or redistribute the Services without authorization
- Use the Services to process payments for illegal goods or services
- Misrepresent your identity or business information
Content Standards
Any content you enter into the Services must not:
- Be defamatory, obscene, or offensive
- Contain personal information of others without their consent
- Violate any third-party rights
- Contain false or misleading information
Enforcement
We reserve the right to investigate and take appropriate action against anyone who violates this policy, including removing content, suspending or terminating accounts, and reporting to law enforcement authorities.
6.Intellectual Property
Our Intellectual Property
The Services, including all content, features, software, and trademarks, are owned by BizoraPOS or our licensors and are protected by copyright, trademark, and other intellectual property laws.
We grant you a limited, non-exclusive, non-transferable, revocable license to use the Services for your internal business purposes, subject to these Terms. This license does not include the right to:
- Modify or create derivative works of the Services
- Copy, distribute, or publicly display the Services
- Use our trademarks without prior written consent
- Remove any copyright or proprietary notices
Your Content
You retain ownership of any content, data, or information you submit to the Services ("Your Content"). By using the Services, you grant us a limited license to store, process, transmit, back up, and display Your Content solely as necessary to provide the Services to you.
This license is limited to operating BizoraPOS for your benefit, including sync, backup, recovery, support, security, compliance, and service improvement. It does not transfer ownership of Your Content to us.
Feedback
If you provide us with feedback, suggestions, or ideas about the Services, you grant us the right to use such feedback without restriction or compensation to you.
7.User Content and Data
Your Data
You are responsible for all data you enter into the Services, including sales records, inventory, customer information, and business data. You represent that you have the right to use and store this data and that it complies with applicable laws.
Your business data remains your property. Except for the limited rights needed to provide the Services under these Terms and as described in our Privacy Policy, we do not acquire ownership of your data.
Data Accuracy
You are responsible for ensuring the accuracy of your data. We are not responsible for any losses or damages resulting from inaccurate data entry.
Data Backup
While we maintain regular backups of your data, we recommend that you regularly export and maintain your own backups. We are not responsible for data loss except as expressly stated in our Service Level Agreement (if applicable).
Local-First Storage and Optional Sync
BizoraPOS is designed to support offline operation. Core business data may be stored locally on your device by default. You may choose whether to enable cloud sync and other online features that send eligible data to our servers.
If you enable sync, you authorize us to host and process the synced data as needed to provide synchronization, backup, recovery, multi-device access, support, security, compliance, and related product functionality. If you disable sync, certain cloud-based features may be limited or unavailable.
Data Privacy
Your data is handled in accordance with our Privacy Policy, which is incorporated into these Terms by reference.
Data Portability
You may export your data at any time through the export features in the application. Upon termination of your account, we will provide a reasonable period for you to export your data.
8.Service Availability
Availability
We strive to provide reliable Services but cannot guarantee uninterrupted availability. The Services may be temporarily unavailable due to:
- Scheduled maintenance (we will provide advance notice when possible)
- Emergency maintenance or security updates
- Factors beyond our control (internet outages, natural disasters)
Offline Mode
BizoraPOS is designed to work offline. Your data is stored locally on your device and may be synced when you connect to the internet if you choose to enable sync. However, some features require an internet connection.
Service Modifications
We may modify, update, or discontinue features of the Services at any time. We will provide reasonable notice for significant changes that affect your use of the Services.
No Warranty
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
9.Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:
Exclusion of Damages
IN NO EVENT SHALL BIZORAPOS, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:
- Loss of profits, revenue, or business
- Loss of data or data corruption
- Business interruption
- Loss of goodwill or reputation
- Cost of substitute services
WHETHER BASED ON WARRANTY, CONTRACT, TORT, OR ANY OTHER LEGAL THEORY, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
Liability Cap
OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE GREATER OF:
- The amount you paid us in the 12 months preceding the claim, or
- $100 USD
Essential Purpose
SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES. IF THESE LAWS APPLY TO YOU, SOME OR ALL OF THE ABOVE EXCLUSIONS OR LIMITATIONS MAY NOT APPLY, AND YOU MAY HAVE ADDITIONAL RIGHTS.
10.Indemnification
You agree to indemnify, defend, and hold harmless BizoraPOS and its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from:
- Your use of the Services
- Your violation of these Terms
- Your violation of any third-party rights
- Your violation of any applicable laws or regulations
- Any content or data you submit to the Services
We reserve the right to assume the exclusive defense and control of any matter subject to indemnification by you, and you agree to cooperate with our defense of such claims.
11.Termination
Termination by You
You may terminate your account at any time by using the account deletion feature in the application or by contacting our support team. Upon termination:
- Your access to the Services will be terminated
- Any outstanding fees will remain due and payable
- You may export your data before termination
- Any synced server-side data will be handled according to our retention policy
Termination by Us
We may suspend or terminate your access to the Services at any time, with or without cause, including if:
- You breach these Terms
- You fail to pay subscription fees
- We are required to do so by law
- We discontinue the Services
- Your account has been inactive for an extended period
Effect of Termination
Upon termination, your license to use the Services will immediately cease. Sections of these Terms that by their nature should survive termination will survive, including intellectual property, limitation of liability, indemnification, and dispute resolution.
12.Dispute Resolution
Informal Resolution
Before filing any formal legal claim, you agree to contact us at support@bizorapos.com to attempt to resolve the dispute informally. We will attempt to resolve the dispute within 60 days.
Binding Arbitration
If we cannot resolve the dispute informally, any dispute, claim, or controversy arising out of or relating to these Terms or the Services shall be resolved by binding arbitration administered by a mutually agreed arbitration provider, in accordance with its rules.
Class Action Waiver
YOU AND BIZORAPOS AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING.
Exceptions
Either party may seek injunctive or other equitable relief in any court of competent jurisdiction for any actual or alleged infringement of intellectual property rights.
13.Governing Law
These Terms shall be governed by and construed in accordance with the laws of the Republic of Rwanda, without regard to its conflict of law provisions.
For users outside of Rwanda, you agree that any dispute resolution shall take place in Kigali, Rwanda, or through binding arbitration as described above.
If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
14.General Provisions
Entire Agreement
These Terms, together with our Privacy Policy and any other policies incorporated by reference, constitute the entire agreement between you and BizoraPOS regarding the Services.
Assignment
You may not assign or transfer these Terms or your rights under them without our prior written consent. We may assign these Terms without restriction.
Waiver
Our failure to enforce any right or provision of these Terms shall not be considered a waiver of such right or provision.
Severability
If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
Force Majeure
We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including natural disasters, war, terrorism, strikes, or internet outages.
